Referral Program Terms

These terms govern the SquawkVoice Referral Program ("Program"), operated by SquawkVoice.ai, Inc. ("SquawkVoice," "we," "us"), 20660 Stevens Creek Blvd #248, Cupertino, CA 95014. By submitting a referral, you agree to these terms.

1. Who can participate

You may participate if you are at least 18 years old and based in the United States. You may not participate if you are:

• An employee or contractor of SquawkVoice or any of its affiliates;
• An employee, officer, director, or agent of the company you are referring;
• A government official or employee, or acting on behalf of a government entity;
• Prohibited from accepting a referral fee by your employer's policies, a professional obligation, or applicable law.

You are responsible for confirming that accepting a referral fee is permitted in your situation.

2. What counts as a qualified referral

A referral qualifies if all of the following are true:

• The referred company is new to SquawkVoice — it is not an existing customer, and is not already an active prospect in our pipeline at the time you submit;
• You submit the referral through the form at squawkvoice.ai/refer, including the referred company's name and a working contact email;
• The referred company signs a paid agreement with SquawkVoice within 12 months of your submission.

If two people refer the same company, the first submission we receive is the one that counts. SquawkVoice determines in good faith whether a referral is new to us, and our determination is final. If we decline a referral because the company is already in our pipeline, we will tell you.

Submitting a referral does not guarantee that we will contact the company, pursue the opportunity, or close a deal.

3. What you earn

For each qualified referral that becomes a paying customer, you earn 10% of the first-year contract value, with no cap.

First-year contract value means the total fees the customer commits to pay SquawkVoice for the first 12 months of the initial agreement. It excludes taxes, third-party pass-through charges, professional services, credits, discounts, and refunds. If the agreement is later reduced, cancelled, or refunded in its first year, we may adjust or recover the reward proportionally.

4. How and when you get paid

Rewards are paid by check in U.S. dollars, within 30 days after the referred customer pays their first invoice.

Before we can issue payment, you must provide a completed IRS Form W-9 and a mailing address. We will request both once the deal closes. Referral rewards are taxable income to you; we will issue a Form 1099 where required, and you are responsible for any taxes owed. If you are not a U.S. person, contact sales@sv.ai before submitting — we handle those payments case by case.

5. Your conduct

You are not a SquawkVoice employee, agent, or authorized reseller, and this Program does not create a partnership or employment relationship. You may not:

• Make claims, pricing statements, or commitments on SquawkVoice's behalf;
• Use SquawkVoice's name, logo, or marks in advertising without our written permission;
• Bid on SquawkVoice brand terms in paid search, send unsolicited bulk email, or otherwise represent yourself as us;
• Submit a referral using contact information you obtained improperly, or that the individual would not expect to be shared.

We may disqualify a referral and withhold payment for conduct that violates these terms.

6. Privacy

We use the contact details you submit to reach out to the referred company about SquawkVoice, and your own details to administer and pay your reward. Our handling of personal information is described in our Privacy Policy.

7. Changes and termination

We may modify or end the Program at any time. Changes take effect when posted here, and referrals you submitted before a change are governed by the terms in effect when you submitted them. If we end the Program, we will honor qualified referrals already submitted for the remainder of their 12-month window.

8. General

These terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Santa Clara County, California.
